, to investigate a proposed concentration by which the undertaking Promatech SpA (Promatech, Italy), controlled by the Radici Group and the Miro Radici Group, acquires, within the meaning of Article 3(1)(b) of the Regulation, sole control of the textile division of the undertaking Sulzer Ltd (Sulzer Textile, Switzerland) by way of purchase of shares. 2. The business activities of the undertakings concerned are:

Promatech: production, distribution and sale of textile machinery,

Sulzer Textile: design, production, distribution and sale of textile machinery.

3. On preliminary examination, the Commission finds that the requests pursuant to Article 22 of Regulation (EEC) No 4064/89 are admissible, as they meet the requirements laid down by this provision. On 27 February 2002, the joint request became complete within the meaning of Article 10(1) of the Regulation, following the receipt of the complete information. 4. The Commission invites interested third parties to submit their possible observations on the proposed operation.
