On 5 November 2002 the Commission received a notification of a proposed concentration pursuant to Article 4 of Council Regulation (EEC) No 4064/89

, by which the Japanese undertakings Toray Engineering Co. Ltd (Toray), Murata Machinery Ltd (Murata) and Teijin Seiki Co. Ltd (Teijin) acquire, within the meaning of Article 3(1)(b) of the Regulation, joint control of TMT Machinery Inc. (TMT, Japan) by way of purchase of shares in a newly created company constituting a joint venture. 2. The business activities of the undertakings concerned are:

Toray: engineering, electronics, textile machinery,

Murata: textile and other machinery, construction, real estate,

Teijin: textile and other machinery, aircraft/oil hydraulic/precision equipment,

TMT: synthetic fibre manufacturing equipment.

3. On preliminary examination, the Commission finds that the notified concentration could fall within the scope of Regulation (EEC) No 4064/89. However, the final decision on this point is reserved. 4. The Commission invites interested third parties to submit their possible observations on the proposed operation.
